Jonathan C. Lotz
Mr. Lotz practices exclusively in the areas of corporate finance, securities and mergers and acquisitions.
Mr. Lotz has acted for both public and private companies on a variety of matters, including acquisitions, dispositions, financings and reorganizations. Mr. Lotz has led and provided strategic advice to public and private companies on various negotiated and hostile take-overs and proxy contests. He is also experienced with cross-border offerings and acquisitions and U.S. transactions. Mr. Lotz has provided advice to Canadian and U.S. reporting issuers on various aspects of their corporate governance practices and has also provided advice to special committees on specific transactions. He has acted for borrowers in the negotiation and documentation of credit facilities, secured (asset-backed) lending and related financing transactions. Mr. Lotz has specialized knowledge of the British Columbia mining sector.
Mr. Lotz has presented papers on securities law and mining law matters at various legal and industry conferences. He is a member of the Association for Mineral Exploration British Columbia (AMEBC) and sits on several committees tasked with reviewing and commenting on proposed legislation and regulatory changes.
Mr. Lotz is called to the Bar in the Province of British Columbia and the State of New York.
